These Terms of Service apply to all products and services offered by Natural Selection ("Natural Selection," "we," "us," or "our"). By accessing or using our website, client portal, products, or services, you agree to be bound by these terms. If you do not agree, you must discontinue use of our website and services.

Natural Selection provides web-related products and services, which may include hosting, web design, development, consulting, support, training, domain registration, and software products such as Joomla extensions.

Services

Natural Selection offers web-related products and services, including but not limited to hosting, web design, development, consulting, support, training, domain registration, and software products. Certain services may also be subject to additional service-specific terms, quotes, proposals, invoices, or written agreements. If there is a conflict between these Terms of Service and a separate written agreement, the separate written agreement will control for that specific service.

Support Services

Concierge Support

Concierge Support is a prepaid recurring support service that includes a fixed number of support hours per billing cycle. Unless otherwise stated in writing, support hours must be used within the applicable billing cycle and do not roll over.

All support requests must be submitted through our client portal or designated ticket system. We are not required to acknowledge or respond to support requests submitted through other channels unless we agree to do so.

Consulting Services

Consulting services are billed separately unless clearly included in a support plan. Consulting is generally provided during normal business hours unless otherwise agreed in writing. If on-site work or travel is requested, the customer is responsible for all reasonable travel-related costs unless otherwise stated in writing.

Support Scope

Support applies only to the scope of the purchased service or plan. Unless otherwise stated in writing, support does not include custom development, major rework, third-party software troubleshooting, emergency recovery, security cleanup, or work outside the stated scope of the applicable service.

Design and Development Services

Quotes or proposals will be provided for design, development, and custom code projects. Unless otherwise stated, quotes expire 14 days after issuance. Approval of a quote, proposal, invoice, or project authorization constitutes acceptance of the pricing, scope, and related terms for that project.

Project timelines, deliverables, and pricing are based on the agreed scope. Changes to scope may require revised pricing, revised timelines, or both. Natural Selection is not responsible for delays caused by lack of client feedback, delayed content delivery, delayed approvals, third-party vendors, or other circumstances outside our reasonable control.

Hosting Services

Natural Selection offers hosting services on shared or other server environments. Hosting services are provided subject to these Terms of Service and our Acceptable Use Policy. Hosting plans, resource allocations, billing cycles, and included features may vary by plan.

We reserve the right to modify, suspend, or limit hosting services where reasonably necessary for maintenance, security, abuse prevention, stability, legal compliance, or operational reasons.

Domain Services

Natural Selection may provide domain registration, renewal, transfer, DNS, and related domain services through third-party registrars or resellers. Domain services are also subject to the terms, rules, and policies of the applicable registrar, registry, and ICANN-related requirements where applicable.

You are responsible for ensuring that domain registration information is accurate and kept up to date. Natural Selection is not responsible for losses arising from inaccurate registrant information, missed renewal notices, failed payment methods, registrar-side issues, registry disputes, or domain expiration where renewal instructions or payment were not received in time.

Domain registrations, renewals, and transfers are generally non-refundable once submitted or processed.

Software Products

Extension Sales

When you purchase a software subscription or extension product from Natural Selection, you are purchasing access to downloads, updates, and support for the stated subscription term. After the subscription period expires, download access, updates, and support may expire unless the subscription is renewed.

Support for software products is limited to the purchased product and does not include custom modifications, custom development, or support for third-party products unless expressly stated otherwise in writing.

Security Scan Service

If Natural Selection provides a security scan or similar monitoring service, that service is intended to identify certain known or common issues only. It is not a guarantee that all vulnerabilities, malware, compromises, or security risks will be detected or prevented.

Payments and Fees

General Payment Terms

Fees for products and services are due as stated on the applicable invoice, order form, quote, subscription, or billing cycle. Some services require payment in advance. Continued use of recurring services authorizes us to invoice and collect payment on the applicable renewal schedule unless canceled in accordance with these terms or any separate written agreement.

Support and Consulting Fees

Support plans and consulting services are generally prepaid unless otherwise stated in writing.

Design and Development Fees

Projects under $1,000 USD may require full payment before work begins. Projects over $1,000 USD may be split into multiple payments or milestones at our discretion or as stated in the applicable quote or proposal.

Hosting and Recurring Service Fees

Hosting and other recurring services may be billed monthly, annually, or on another stated billing cycle. Unless otherwise agreed in writing, recurring services renew automatically at the end of the current term.

Late Fees

Invoices other than software subscription renewals may be assessed a late fee if unpaid 14 days after the due date. Unless otherwise stated on the invoice or in a separate agreement, the late fee may be 10% of the overdue balance.

We reserve the right to suspend services for overdue balances.

Accepted Payment Methods

Unless otherwise agreed by Natural Selection in writing, all payments must be made through the client portal using the payment methods we make available there. We do not accept checks, money orders, or other offline forms of payment.

Services may be delayed, withheld, suspended, or declined until payment is successfully received through an approved payment method available in the client portal.

Refund Policy

Except where otherwise required by law or expressly stated in writing, payments made to Natural Selection are non-refundable. This includes payments for services already rendered, time already reserved, software access, domain registrations, domain renewals, transfers, hosting, support plans, consulting, design, development, and other digital or service-based products.

Backups and Data Responsibility

You are solely responsible for maintaining your own current backups of websites, databases, email, files, and other data unless a separate written agreement specifically states otherwise. While we may provide backup-related features or courtesy backups, you should not rely on them as your sole backup solution.

Natural Selection is not responsible for lost data, corrupted data, incomplete backups, restoration failures, or any damages arising from backup or recovery issues.

Acceptable Use

Use of our services is subject to our Acceptable Use Policy. Violations of the Acceptable Use Policy may result in suspension, restriction, or termination of services, with or without notice.

Suspension and Termination

We reserve the right to suspend, restrict, or terminate services at our discretion for nonpayment, abuse, violation of these terms, violation of our Acceptable Use Policy, inaccurate billing information, fraud concerns, legal compliance needs, security concerns, or conduct that creates risk to our systems, reputation, staff, vendors, or customers.

Unless otherwise required by law or agreed in writing, suspension or termination for cause does not entitle you to a refund.

Support plans or recurring service arrangements may convert to month-to-month renewal terms if that is stated in the applicable quote, invoice, or service agreement. Cancellation requests must be submitted in writing or through the client portal before the renewal date. We may require advance notice for cancellation of recurring services.

Intellectual Property and Licensing

Extensions

Unless otherwise stated, Natural Selection software extensions are licensed under the GNU/GPLv3 model.

Modifications

You may modify GPL-licensed extensions to suit your own needs, subject to the terms of the applicable license.

Support Scope for Licensed Products

You may use eligible software products on as many domains as permitted by the applicable license, but support may be limited to the scope and number of sites covered by the purchased subscription or support term.

Custom Code and Design Work

Unless otherwise stated in writing, custom code, design work, deliverables, and project materials created by Natural Selection outside of GPL-licensed software products are provided under a proprietary license. Ownership, reuse rights, and transfer rights, if any, will be governed by the applicable quote, proposal, invoice, or written agreement.

Disclaimers

All services, software, products, advice, recommendations, and consultations are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, except where such warranties cannot be disclaimed by law.

Natural Selection does not warrant that services will be uninterrupted, error-free, fully secure, or suitable for every purpose. We do not guarantee specific business outcomes, search rankings, compatibility with all third-party software, or uninterrupted availability of third-party services, registrars, payment processors, hosting infrastructure, or external vendors.

Limitation of Liability

To the fullest extent permitted by law, Natural Selection and its owners, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability arising out of or related to any product or service will not exceed the amount paid by you to Natural Selection for the specific product or service giving rise to the claim during the 3 months immediately preceding the event giving rise to the claim.

If you provide us or our agents with access to your website, hosting account, domain account, server, third-party services, or related systems, you do so at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless Natural Selection and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorney's fees, arising out of or related to your use of our website, products, or services, your violation of these terms, your violation of applicable law, or your infringement of any third-party rights.

Changes to These Terms

We may update or modify these Terms of Service from time to time. Updated terms become effective when posted, unless a later effective date is stated. Continued use of our website or services after updated terms are posted constitutes acceptance of the revised terms.
